Terms and Conditions

THE FOLLOWING DESCRIBES THE TERMS ON WHICH INFOMATICS CORP OFFERS YOU ACCESS TO THEIR V-FORM SERVICES:

This Service Agreement (“Policies and Terms of Use”) constitute an agreement, which describes the terms and conditions applicable to your use of V-Form services.

1. Contract Eligibility

Our services are available only to the entities who form legally binding contracts under applicable law with Infomatics Corp and also available to their authorised W2s and Contractor individuals.

2. Trial

A trial period may be offered to interested Customers. Trial period is 30 calendar days long with access for up to 5 users (including admin or any other user roles).

3. End of Trial Period

At the end of trial period or on your earlier request, you will be automatically switched to paid plan without any prior notice. Start date of paid plan (either at the end of Trial period or your early request), will be considered as your billing period start and cut-off date. Fees will be applied based on per active user per month (or part of the month) at the time of billing period end date.

4. Fees & Services

Fees & Services may change from time to time which is in the sole discretion of Infomatics Corp. All fees are quoted in USD. You are responsible for paying all fees associated with using our service through auto-payment. Monthly subscription payments are processed via Payment Gateway; PayPal.

Monthly subscription fees will be calculated based on any users who were active for any period of time during the billing period. Any users terminated during the billing period will also be considered as active users (as they would be active during part of the billing period). Full monthly fee will be charged for such users. Five (5) days grace period will be provided in case of an unsuccessful payment on the billing date. If you make the payment within these five days, there will be no interruption to the services. Future billing dates will not change due to late payment. If payment is not made within five days of the due date, your services will be temporarily deactivated. While your account is deactivated, only admin can have access to their accounts page only to make a payment. Once payment is made, services will be activated immediately for all active users. Infomatics Corp will not be held responsible for any security / fraud issues happened in their services.

5. Information Control

We do not control the information provided by the users, which is made available through our system. You may find other user’s information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using our services. Please note that there are also risks of dealing with foreign nationals, underage persons or people acting under false pretense.

6. User Account, Password and Security

Users will receive an email with a username and they can create their passwords as per instructions received in email to complete the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session.

7. Fraud

Without limiting any other remedies, Infomatics Corp may suspend or terminate your account if you are found, by conviction, settlement, or other investigation, to have engaged in any fraudulent activity in connection with our services.

8. Intellectual Property

Infomatics Corp does not allow any services which may infringe upon any patent, copyright, trademark, trade secret or other intellectual property rights of the company. Users can report infringing features or matters to Infomatics Corp.

9. Prohibited Activities

You agree not to use our services to:

(a) Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; (b) Impersonate any person or entity, including, but not limited to, Infomatics Corp official, or falsely state or otherwise misrepresent your affiliation with a person or entity; (c) Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content listed on the site or service; (d) Upload, post, email, transmit or otherwise (e) Make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements); (f) Advertise promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation; (g) Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (h) Disrupt the normal flow of dialogue, cause a screen to “scroll” faster than normal, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges; (i) Interfere with or disrupt the services or servers or networks connected to the service, or disobey any requirements, procedures, policies or regulations of networks connected to the service; (j) Intentionally or unintentionally violate any applicable local, state, national or international law and any regulations having the force of law; (k) “Stalk” or otherwise harass another user or third party.

10. Your Information

”My Collectibles Information” is defined as any information you or your users provide to us or other users in the registration, in any public message area, including the feedback area, or through any email feature. You are solely responsible for your My Collectibles Information, and we act as a passive conduit for the online distribution and publication of your My Collectibles Information.

10.1 My Collectibles Information, or any items listed therein:

(a) shall at all times provide true, accurate, current and complete information about yourself; (b) shall be maintained and promptly updated to keep it true, accurate, current and complete; (c) shall not be fraudulent or involve the sale of counterfeit or stolen items; (d) shall not infringe any third party’s copyright, patent, trademark, trade secret, proprietary rights, confidential information or rights of publicity or privacy; (e) shall not be defamatory, libelous, unlawfully threatening or unlawfully harassing; (f) shall not violate any law, statute, ordinance or regulation, including without limitation those governing export control, consumer protection, intellectual property, unfair competition, anti-discrimination or false advertising; (g) shall not be obscene or contain child pornography; (h) shall not contain any viruses, trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to or cause any damage, interfere with, intercept or expropriate any system, data or personal information; (I) shall not create liability for us or cause us to lose, in whole or in part. You may not conduct any activity using our service, that could cause us to violate any applicable law, statute, ordinance or regulation, or that violates our current Prohibited, Questionable and Infringing Items list. If you provide any information that is untrue, inaccurate, not current or incomplete, or Infomatics Corp has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the services.

11. Advertisers

You cannot do any kind of advertisement on V-Form directly or through any third party.

12. Proprietary Rights

You acknowledge and agree that the service, and any necessary software used in connection with the service (“Software”) contain proprietary and confidential information of Infomatics Corp, that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the service is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Infomatics Corp, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the service or the site or the Software, in whole or in part. Infomatics Corp grants you a non-transferable and non-exclusive right to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, grant a security interest in or otherwise transfer any rights in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the services. You agree not to access the services by any means other than through the interface that is provided by Infomatics Corp for use in accessing the services.

13. International Use

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.

14. Breach

Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause legal liability for you, our users or us. You agree that any termination of your access to the service under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that Infomatics Corp may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the service. Further, you agree that Infomatics Corp shall not be liable to you or any third party for any termination of your access to the service.

15. Warranty

Infomatics Corp provides services on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory; and specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non- infringement.

Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

16. Limitation of Liability

In no event shall Infomatics Corp be liable for lost profits or any special, incidental, consequential or exemplary damages including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Infomatics Corp has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service or arising out of or in connection with our services or this agreement, however arising, including negligence.

17. Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of sections 14 and 15 may not apply to you.

18. Trademark Information

Infomatics Corp, Infomatics Corp statute and logo and service names are trademarks of Infomatics Corp or V-Form. Without Infomatics Corp prior permission, you agree not to display or use in any manner, the Infomatics Corp and V-Form Marks.

19. Indemnity

You agree to indemnify and hold Infomatics Corp and its subsidiaries, affiliates, officers, owners, partners, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of any third party, or your use of our services or Content you submit, post, transmit or make available through V-Form, your use of the service, your connection to the service, or your violation of any rights of another.

20. Legal Compliance

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service.

21. No Agency

You and Infomatics Corp are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.

22. Notices

Except as explicitly stated otherwise, any notices shall be given by email address you provide to Infomatics Corp during the registration process.

23. Arbitration

Any controversy or claim arising out of or relating to this Agreement or our services shall be settled by binding arbitration in accordance with the Arbitration Act. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Dulles, VA and the judgment on the arbitration award may be entered in any court having jurisdiction thereof.

24. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

25. Disclosures

The services hereunder are offered by Infomatics Corp located at 23465 Rock Haven Way, Suite 100, Dulles, VA 20166.
